General Terms and Conditions
Preamble
Dáváme s.r.o., Company ID (IČ): 07058497, registered at Bartůňkova 2349/3a, Chodov, 149 00 Prague 4 (hereinafter "Dáváme"), is an official partner and reseller of the Pipedrive CRM system, based on a contractual relationship between Dáváme and Pipedrive.These Terms and Conditions govern the relationship between Dáváme and its customers (hereinafter "Customer") in connection with the provision of Pipedrive CRM services and supplement or clarify certain aspects beyond the main Terms of Service of Pipedrive, available here: https://www.pipedrive.com/en/terms-of-service#definitions. The Customer pays for licenses and additional services directly to Dáváme, which manages the Customer’s subscription and provides basic support, while Pipedrive remains the operator and provider of the system. By signing the order, the Customer automatically accepts these Terms and Conditions. The Customer also agrees to the Pipedrive Terms of Service, which form the basic terms and conditions for the use and provision of Pipedrive CRM services, provided by Pipedrive.
- Selection of Services
1.1 The Customer is entitled to select from the available Pipedrive service plans and further:
- a) the preferred currency for payments;
- b) the specified number of user licenses (hereinafter "seats");
- c) the type of valid plan (either monthly or annual).
It should be noted that combining different plans under a single contract is not possible. Dáváme s.r.o. also allows interested parties to use a trial version of the Pipedrive system, provided for a period of 30 days. This trial version allows potential customers to test the full functionality of the system before committing to a paid plan.
1.2 If the Customer, after the trial period or during an active paid plan, wishes to change the plan or adjust the number of seats, they must coordinate this request directly with their contact person at Dáváme s.r.o. The sales representative will ensure the necessary steps to implement the requested changes, including any adjustments to the contract and service settings, in accordance with the Customer’s requirements.
By this agreement, Dáváme and the Customer establish the terms for the selection of services and plans as specified in this article and commit to adhering to them.
- Seat Management
2.1 Dáváme s.r.o. offers Customers two basic options for managing user licenses (seats) within the Pipedrive system: open management mode and closed management mode.
By default, the Customer is set to the open management mode, allowing flexible addition or removal of user licenses according to the Customer’s current needs.
2.2 Open Management Mode: In open management mode, Customers have the flexibility to add or remove seats according to their current business needs and system usage. This option allows Customers to dynamically respond to changes in their organization and business processes.
2.2.1 If the Customer requests the removal of more than one seat from the registered users of the system provided by Dáváme s.r.o. before the renewal of the plan, such request will be accepted and processed. However, if such a request is submitted less than twenty-four (24) hours before the automatic plan renewal, Dáváme s.r.o. reserves the right not to accept the removal for the upcoming billing period, meaning the removal cannot be reflected in the next invoice cycle.
2.3 Closed Management Mode: In closed management mode, the Customer must specify a fixed number of seats for the entire contract period. This option is suitable for Customers who prefer stable planning and have a clear understanding of the number of users needed for the duration of the contract.
2.4 Any change in the seat management mode after the contract is signed must be requested via the portal https://support.davame.cz. Any such change may be subject to a revision of the contractual terms and possible price adjustments.
2.5 The Seller commits to providing support and consulting to the Customer in selecting and managing seat modes to ensure optimal conditions for using the Pipedrive system according to the Customer's needs.
2.6 Credits for seats removed during the month will be automatically applied to the following billing period.
2.7 The Customer hereby agrees to comply with the provisions of this article regarding seat management and accepts the conditions established by the Seller for the management of user licenses.
- Additional Services
3.1 Customers of Dáváme s.r.o. have the right to purchase additional add-ons and feature extensions offered within the Pipedrive CRM system. These add-ons and extensions are designed to provide Customers with further optimization and maximize the efficiency of their sales processes.
3.2 A list of available add-ons and extensions, including detailed descriptions of their features and pricing information, is available to Customers through their contact person at Dáváme s.r.o. or on the company's official website.
3.3 Any request to purchase or activate add-ons and extensions must be formally submitted via the portal https://support.davame.cz and coordinated through the Customer’s contact person at Dáváme s.r.o., who will handle the processing and activation of services according to the current contractual terms between the Customer and Dáváme s.r.o.
3.4 Dáváme s.r.o. undertakes to provide Customers with all necessary support and advice when selecting and implementing add-ons and extensions to ensure their effective use within the Pipedrive CRM system.
- Support and Onboarding
4.1 Dáváme s.r.o. commits to providing technical support and basic onboarding for all its Customers, regardless of the selected tariff level or plan type. Depending on the type of license chosen by the Customer, different onboarding levels are provided, reflecting the Customer's investment in the Pipedrive system.
- Basic personal onboarding is available for Customers whose monthly license payment does not exceed CZK 10,000 or €400. This onboarding provides an initial orientation to the system and its functionalities.
- Extended onboarding is offered to Customers whose monthly license payment does not exceed CZK 25,000 or €1,000. This includes a more detailed introduction to the system, including advanced features and configuration options.
- Personal onboarding with long-term strategic planning is available for Customers who pay more than CZK 25,000 or €1,000 monthly. This comprehensive onboarding not only covers detailed system orientation and capabilities but also involves jointly creating a long-term strategic plan to maximize Pipedrive’s benefits for the Customer's business goals.
4.2 The purpose of providing technical support and onboarding is to ensure that the Customer can use the Pipedrive CRM system as efficiently as possible. The Seller commits to providing the necessary guidance, information, and support to achieve this objective.
4.3 Technical support includes, but is not limited to, resolving technical questions, addressing issues, and providing guidance for optimal use of the Pipedrive system. Basic onboarding involves providing the necessary information and guidance for the initial setup and configuration of the Pipedrive system for the Customer.
4.4 The Seller undertakes to deliver all support and onboarding services with professional care and to the best of their ability, ensuring that the Customer's needs are fully met.
4.5 The Customer agrees to cooperate with the Seller and to provide all necessary information and access needed by the Seller for providing support and onboarding services.
4.6 The Customer acknowledges and agrees to the terms of support and onboarding specified in this article and commits to fully comply with them.
4.7 All support requests related to the Pipedrive system must be submitted by the Customer in writing through the support website managed by Dáváme s.r.o. at support.davame.cz.
4.8 Dáváme does not have access to the Customer's data. If the Customer wishes to grant Dáváme access, they may add Dáváme to their system as a user via a special partner seat provided free of charge. By adding this partner seat, the Customer acknowledges that they are granting Dáváme access to their data until they decide to remove the partner seat.
- Invoicing and Payments
5.1 Dáváme s.r.o. undertakes to issue invoices for provided services to the Customer twenty-one (21) days before the start of each new billing period. Each invoice issued has a payment term of fourteen (14) days from the date of issuance..
5.2 If the Customer fails to pay a due invoice within fourteen (14) days of issuance, the Seller has the right to automatically and without further notice suspend the Customer’s access to the services until the full outstanding amount is paid.
5.3 The Seller reserves the right to initiate debt recovery procedures if an invoice remains unpaid more than sixty (60) days after its due date. In such a case, the Customer is obligated to cover all costs associated with the debt recovery, including but not limited to court and legal fees.
5.4 Delays in payment and subsequent suspension of services by Dáváme s.r.o. may result in a shift of the subscription renewal date. Thus, any delay in settling outstanding payments may lead to a change in the date scheduled for the plan renewal in accordance with Dáváme’s business terms.
5.5 In the event of a change in the Customer's subscription type (whether due to a change of plan or a transition to a past-due status and subsequent renewal), the Customer's subscription will be automatically updated to the current Pipedrive pricing list. If the Customer is already on a pricing level corresponding to the current Pipedrive price list, no change will occur. Otherwise, the subscription price will be adjusted according to the current pricing terms specified in the Pipedrive pricing list.
5.6 The Customer acknowledges and agrees to the invoicing and payment terms specified in this article and undertakes to fully comply with them.
- Data Protection and Data Use Purposes
6.1 We collect and process your personal data and other related information (hereinafter referred to collectively as “Data”) for the following purposes:
- Use of the CRM system by the Customer and their individual Users;
- Provision of CRM support services to the Customer and their Users;
- Fulfillment of obligations arising from the Contract or related legal obligations;
- Potential future recovery of your instance from a backup even after the termination of the contractual relationship;
- Sending of commercial communications (newsletters) related to other CRM-related services, provided you have given consent or another legal basis applies, within the scope and under the conditions set forth in the Data Processing Policy ("Policy") available on our website, and based on legal grounds under GDPR and Act No. 110/2019 Coll. on the Processing of Personal Data.
We use this Data in accordance with the Policy to improve CRM or provide customization services based on your needs and lawful bases, and we will not disclose it in a manner that would enable your identification by third parties.
6.2 In accordance with the Policy, commercial communications (newsletters) may be sent to you based on an appropriate legal basis to the email addresses you provided when creating or updating User accounts. If the sending is based on consent, you can withdraw this consent at any time via the link included in every commercial message. If you withdraw your consent, no further commercial messages will be sent to you.
6.3 As the Customer, you hereby confirm that the personal data provided by you is accurate and that you were informed that providing it is voluntary. If necessary, you and your Users have the right to correct Data, as detailed in the Policy.
6.4 We also declare that all data collected about you in connection with the Contract will not be used for purposes other than those for which it was collected.
DATA SECURITY MEASURES
6.5 We have implemented appropriate technical and organizational measures according to GDPR to ensure the security of Data processing we perform on behalf of data controllers, particularly for you. Our fundamental obligation is to process Data according to your instructions or those of your Users. However, we are not liable for CRM use in violation of the Policy, Terms, or Contract or for unauthorized data processing by you or your Users.
6.6 All Data and information obtained from you in connection with CRM provision are considered confidential and will be protected against misuse and not disclosed to third parties for commercial or other purposes. This does not affect our legal obligation to disclose information to public authorities as required by law.
6.7 We are entitled to use the Data obtained from you in accordance with the Policy, provided that your rights and legitimate interests are respected, and in such a way that no harm is caused to you and confidentiality obligations regarding your information are not breached.
GDPR RIGHTS
6.8 If you, your User, or your Client believe that we are processing your personal data in violation of privacy protection or the law, especially if the personal data is inaccurate for the purposes of processing, you have the right to:
- Request access, restriction of processing, or an explanation;
- Request correction, deletion, or rectification of the situation under the Policy.
6.9 If you or your User request access to your personal data processing, we are obligated to provide the relevant information without undue delay, no later than one month after your request.
WITHDRAWAL OF CONSENT FOR PERSONAL DATA PROCESSING
6.10 If the processing is based on consent, you and your User are also entitled to withdraw your consent to the processing of personal data, for example by submitting it to our contact email address davame@davame.cz, which is also mentioned in the Policy. However, in this case, we cannot guarantee the full functionality or use of the CRM.
NOTIFICATION TO THE OFFICE FOR PERSONAL DATA PROTECTION
6.11 As the data controller, we have notified the Office for Personal Data Protection before issuing these General Terms and Conditions that we intend to process personal data, and we are registered under registration number 00033472. The processing terms of your personal data and that of your clients are an integral part of the Contract, agreed under these Terms, the Data Processing Agreement, and in accordance with GDPR requirements.
DATA PROCESSING AGREEMENT
6.12 Along with the Contract and these Terms, we also enter into a Data Processing Agreement, where you will find more details about how your personal data is processed.
6.13 This entire Section 6 applies to Customer information; information contained in Pipedrive CRM data applies only if a partner seat is assigned as described in Section 4.8.
- Final Provisions
7.1 These Terms and Conditions are valid and effective for all Customers from March 1, 2024. Dáváme reserves the right to amend the Terms and Conditions with prior notice to Customers.
